Underwriting Requirements for High-Value Commercial Endorsements

By Marc Shaw

When closing high-value commercial transactions, standard ALTA owner’s or loan policies rarely cover the full spectrum of legal and operational risk. Lenders, institutional investors, and private equity funds rely on specialized endorsements to bridge the gap between basic title coverage and complex property risks.

At World Wide Land Transfer, our underwriting team at our commercial real estate title company specializes in mitigating these sophisticated real estate exposures. Underwriting high-value commercial endorsements requires clear risk allocation, rigorous title search review, and precise survey verification.

Below is an analysis of four critical endorsements, ALTA 9, ALTA 13, ALTA 15, and ALTA 28, detailing their core protections, title risks, and underwriting mandates.

1. ALTA 9 Series: Restrictions, Encroachments, and Minerals

Core Protection

The ALTA 9 endorsement series provides coverage against loss or damage caused by violations of covenants, conditions, and restrictions (CC&Rs), existing encroachments, and future mineral development rights that damage surface improvements.

Essential Coverage Options

  • ALTA 9-06: Loan policy endorsement covering violations of restrictions, encroachments over property lines or easements, and mineral development damage.
  • ALTA 9.1-06 / 9.2-06: Owner’s policy equivalents for unimproved and improved land, respectively.
  • ALTA 9.3-06 / 9.6-06: Variations addressing specific mineral rights severance and land-use restrictions.

Primary Title Risks

  • Violations of recorded restrictive covenants (e.g., set-back violations, unauthorized commercial uses).
  • Encroachments of existing improvements onto adjoining land or onto recorded easements.
  • Exercised surface rights by mineral interest holders resulting in damage to primary structures or parking facilities.

Underwriting & Survey Requirements

  1. CC&R Review: Complete review of all recorded CC&Rs to confirm compliance and verify absence of express re-verter or forfeiture clauses.
  2. ALTA/NSPS Land Title Survey: Required to confirm:
    • No existing structures cross property lines or easement boundaries.
    • Building height, set-back, and footprint comply with recorded restrictions.
  3. Mineral Title Search: Documented chain of title search for severed mineral rights. If severed rights exist, require a surface waiver or affirmative agreement from the mineral rights holder.

2. ALTA 13 Series: Leasehold Policies

Core Protection

The ALTA 13 endorsement series modifies an owner’s or loan policy to cover leasehold estates, protecting tenant-insureds or leasehold mortgagees against loss resulting from eviction due to covered title defects.

Essential Coverage Options

  • ALTA 13-06: Leasehold Owner’s Endorsement.
  • ALTA 13.1-06: Leasehold Loan Endorsement.

Covered Loss Elements

  • The value of the remaining leasehold estate.
  • Tenant relocation expenses and personal property transport.
  • Rent obligated to be paid to the paramount fee owner after eviction.
  • Sublessee damages and fair market value of tenant improvements.

Primary Title Risks

  • Defective or unrecorded ground leases and short-form lease memoranda.
  • Prior recorded fee mortgages that lack Non-Disturbance Agreements (SNDAs).
  • Inability to confirm lease enforceability due to unrecorded assignments or amendments.

Underwriting Requirements

  1. Lease Agreement & Memorandum Review: Full execution and recordation of a Memorandum of Lease describing the leased premises, term, and renewal options.
  2. Fee Owner Title Search: Complete title examination of the underlying fee simple estate to verify lessor ownership and identify senior encumbrances.
  3. SNDA / Estoppel Certificates: Required execution of Subordination, Non-Disturbance, and Attornment Agreements (SNDAs) from all existing fee mortgage holders, alongside an Estoppel Certificate from the fee landlord.

3. ALTA 15 Series: Non-Imputation

Core Protection

The ALTA 15 endorsement protects incoming equity investors or mezzanine lenders acquiring an interest in a property-owning entity (e.g., LLC, LP). It prevents the title insurer from denying coverage based on knowledge imputed to the entity from departing or existing partners/members under standard policy exclusions.

Essential Coverage Options

  • ALTA 15-06: Non-Imputation – Full Equity Transfer.
  • ALTA 15.1-06: Non-Imputation – Additional Insured (for partial buy-ins).
  • ALTA 15.2-06: Non-Imputation – Partial Equity Transfer.

Primary Title Risks

  • Unrecorded encumbrances, side agreements, or liabilities created by existing entity owners that are unknown to the incoming investor.
  • Policy Exclusions 3(a) and 3(b) (“created, suffered, assumed, or agreed to” or “known to the Insured”).

Underwriting Requirements

  1. Non-Imputation Affidavit: Executed sworn statements from departing and exiting entity principals attesting that no unrecorded liens, liabilities, or title defects exist.
  2. Financial Indemnity: Financial review and indemnity execution from high-net-worth principals or parent entities backing the non-imputation representations.
  3. Organizational Documentation: Complete review of operating agreements, partnership agreements, certificates of good standing, and resolutions authorizing the equity transfer.

4. ALTA 28 Series: Easements and Encroachments

Core Protection

The ALTA 28 series provides affirmative coverage against forced removal or alteration of existing improvements that encroach onto easements or adjoining lands, or encroachments of adjoining structures onto the insured property.

Essential Coverage Options

  • ALTA 28-06: Encroachments – Boundaries and Easements.
  • ALTA 28.1-06: State-specific variations addressing specific structure removal risks.
  • ALTA 28.2-06: Encroachments – Boundaries and Easements (Described Improvements).

Primary Title Risks

  • Structures, utility lines, or retaining walls constructed over public utility or access easements.
  • Physical encroachments over real property boundary lines.
  • Easement holder exercising rights that require removal of insured improvements.

Underwriting & Survey Requirements

  1. Current ALTA/NSPS Survey: Must show all physical improvements, recorded easement lines, visible utilities, and exact encroachment measurements.
  2. Risk Analysis: Underwriters evaluate:
    • Type of Encroachment: Paved parking vs. permanent structural foundations.
    • Easement Terms: Reviewing rights of termination or immediate removal clauses within the underlying easement agreement.
  3. Affirmative Relief/Encroachment Agreements: Where encroachments are significant, obtaining recorded encroachment permits or agreements with the easement holder or adjoining landowner.
